Terms of Use

1. Purpose
These Terms of Use (hereinafter "the Terms") define the terms and conditions of use of the Sekalis platform (hereinafter "the Platform"), accessible at sekalis.be, as well as the rights and obligations of the parties in this context.
The Platform is published by Blerim Mata, operating under the commercial name Sekalis, registered with the Belgian Crossroads Bank for Enterprises.

Use of the Platform implies full and complete acceptance of these Terms. If you do not accept these conditions, you must not use the Platform.
2. Access to the service
The Platform is accessible 24 hours a day, 7 days a week, subject to interruptions necessary for maintenance, updates or in the event of force majeure.
Sekalis reserves the right to temporarily suspend or interrupt access to all or part of the Platform for maintenance or improvement purposes, without this giving rise to any compensation.
Access to the Platform requires an Internet connection and a modern web browser. Internet access costs are borne exclusively by the user.
3. Registration and user account
To use the Platform's services, the user must create an account by providing accurate, complete and up-to-date information. The user agrees to update their information in the event of any change.
Each account is personal and strictly confidential. The user is responsible for the confidentiality of their login credentials and all activity carried out from their account. In the event of unauthorised use, the user must immediately notify Sekalis at support@sekalis.be.
The email address used during registration must be verified. Access to services is conditional upon this verification.
4. Subscriptions and payment
4.1 Subscription plans
Sekalis offers several subscription plans (Discovery, Starter, Pro, Premium), the features, pricing and included services of which are detailed on the Pricing page.
4.2 Payment and tacit renewal
Payments are processed securely by our payment provider Stripe. Sekalis does not store any credit card information on its servers.
The subscription is billed monthly or annually depending on the plan chosen. Payment is due on the subscription date and automatically renewed at each billing period via Stripe direct debit.
Mandatory information (art. VI.91 CDE): for yearly subscriptions, Sekalis will notify you by email at least 30 days before each renewal, to the email address linked to your account. This notification reminds you of the renewal date, amount charged, and your right to cancel. For monthly subscriptions, since each cycle is shorter than 6 months, this notification is not legally required.
Right to cancel after 1 year of contract (art. VI.91 §2 CDE): from the first anniversary of your subscription, you can cancel at any time, with a maximum 2-month notice period, free of charge and without penalty. Cancellation is one click away from your billing dashboard or by email to support@sekalis.be.
4.3 Right of withdrawal
You have a statutory 14-day right of withdrawal from the date of subscription (Directive 2011/83/EU, transposed to article VI.47 of the Belgian Code of Economic Law), unless explicitly waived by you.
Express waiver (art. VI.53 1° CDE): at signup, a separate non-pre-ticked checkbox asks you to confirm that you wish to immediately benefit from the digital service. By ticking this box, you expressly waive your 14-day right of withdrawal, in line with CJEU Schulz case law (C-350/23). This waiver is logged in our database (withdrawal_waived_at timestamp) as legal proof.
Without waiver: if you did not tick the waiver checkbox, your right of withdrawal applies for 14 days after subscription. To exercise it, send an email to support@sekalis.be with your order number. Sekalis will refund you in full within 14 days, deducting only the price corresponding to the portion of service already supplied (pro rata temporis).
4.4 Price changes
Sekalis reserves the right to modify its pricing. Any changes will be communicated to the user at least 30 days before taking effect. Users who do not accept the new pricing may cancel their subscription before the next billing date.
4.5 Free trial
Sekalis offers a 14-day free trial on the Pro plan, accessible without providing a credit card. During this period, the user enjoys all Pro plan features with no commitment.
No automatic conversion: at the end of the trial period, no billing is triggered. The user receives an email 3 days before the end of the trial inviting them to choose a paid plan to continue. Without explicit subscription to a paid plan, the account is automatically switched to the Discovery plan (free) at the end of the trial, with its applicable limitations.
Data retention during switch: sites, emails and data created during the trial are retained. If the user does not subscribe to a paid plan, features beyond the Discovery plan are deactivated but the data remains recoverable for 30 days via export or reactivation by subscription.

The user may also choose to activate their 14-day free trial by providing a valid payment method (credit card, Bancontact). This option provides automatic conversion to the paid subscription at the end of the trial, without requiring any additional action.
No charge during the 14-day trial. The payment method is securely stored at our provider Stripe via the SetupIntent technology. No amount is debited until the trial period has expired.
In accordance with Article VI.46 of the Belgian Code of Economic Law, the user explicitly consents, via a dedicated check-box, to the automatic billing at the end of the trial. The amount charged corresponds to the price of the plan and cycle (monthly or yearly) selected at activation. The exact date and amount are displayed clearly before confirmation and reminded by email on D-7 and D-1 before the debit.
Free cancellation during the 14 days. The user may cancel the trial at any time from the dashboard ("Billing" section) in one click, free of charge. No debit will then occur. Access to the service remains active until the originally scheduled end date of the trial.
By ticking the dedicated box at activation, the user requests immediate access to the Sekalis service and expressly waives, in accordance with Article VI.53 6° of the Belgian Code of Economic Law (transposing Article 16 m) of Directive 2011/83/EU), their 14-day right of withdrawal provided for in Article VI.47 CDE. This waiver is a condition for the immediate availability of the service during the trial period.
As a consequence of the explicit waiver described above, and in accordance with Article VI.83 CDE, no refund is due in case of unsubscription after the effective start of use of the service during the trial period or after the first automatic debit. The user may always terminate their subscription at any time; termination takes effect at the end of the current billing cycle, in accordance with Article 4.2 above.
5. Domain name
5.1 Provision of the domain
When subscribing to a paid plan, Sekalis handles the registration of a domain name (.be, .com, .fr or equivalent) with its partner registrar (OVH). The domain is associated with the user's website for the duration of the subscription. Monthly subscriptions incur a 10 € activation fee billed with the first installment; annual subscriptions include the domain at no additional cost.
5.2 Annual renewal
The domain name is automatically renewed every year as long as the user's Sekalis subscription remains active. Renewal fees are fully covered by the subscription: no separate invoice is issued for domain renewal.
5.3 Suspension of automatic renewal
In case of subscription cancellation or payment failure on more than one attempt, the automatic renewal of the domain is immediately disabled with the registrar. The domain remains operational until its renewal anniversary date, after which it expires if the user has not resolved the situation. The user then has a retention period (typically 30 days for a .be) to recover the domain via the registrar.
A warning email is sent to the user at least 30 days before the effective non-renewal date, reminding them of the consequences and offering them the opportunity to resolve their payment to keep the domain.
5.4 Domain transfer
The user may request the transfer of their domain to another registrar at any time. Sekalis will provide the authentication code (auth-code) within 7 business days of written request, provided the subscription is up-to-date and the domain is not in a dispute period.
5.5 Refund
Domain activation fees (10 € monthly) are non-refundable once the domain has been registered. In case of subscription cancellation during the period, no prorated refund will be granted for the remaining fraction of the domain year already paid to the registrar.
6. Payment module
6.1 Territorial scope
The payment module integrated into websites generated by Sekalis (via Stripe Connect Custom) is exclusively intended for transactions carried out within the European Union (EU 27 Member States). Billing and shipping addresses are restricted to EU countries at the Stripe Checkout payment process level.
This restriction ensures VAT compliance (harmonized EU OSS scheme), simplification of DAC7 reporting (EU Directive 2021/514), consumer protection under the Brussels I bis regulation, and uniform GDPR application. Non-EU transactions fall under separate tax and legal regimes (destination-country VAT, international sanctions, customs) which are not covered by the standard module. A geographic extension may be requested on a case-by-case basis for Premium accounts.
6.2 VAT regime
The merchant is solely responsible for the VAT compliance of their sales. Sekalis automatically enables the collection of the buyer's VAT number (Tax ID field) on Stripe Checkout to allow intra-community B2B reverse charge (Article 21bis of the Belgian VAT Code, Article 196 of Directive 2006/112/EC). If the merchant has activated Stripe Tax on their Connect account, VAT is automatically calculated based on the buyer's location. Otherwise, the merchant applies VAT in accordance with their own tax return.
6.3 Merchant responsibility
The merchant acknowledges being the official seller of each transaction (invoices issued by Stripe in the merchant's name, with automatic sequential numbering compliant with Article 5 §1 1° AR No. 1 of the Belgian VAT Code). The merchant is solely responsible for handling disputes, withdrawal rights (14 days, Directive 2011/83/EU), returns, refunds, and consumer obligations. Sekalis intervenes only as a technical infrastructure provider (non-contractual technical intermediary within the meaning of Article XII.17 §3 CDE).
6.4 Sekalis commission
Sekalis does not charge any commission on transactions made through the payment module (0% application fee). 100% of the net amount (after standard Stripe fees borne by the merchant) is transferred to the merchant's bank account according to the payout schedule configured on Stripe. Sekalis' business model is based exclusively on the monthly or annual SaaS subscriptions taken out by the merchant.
7. Pro Email service
7.1 Provider and infrastructure
Sekalis' "Pro Email" service is built on Microsoft Exchange Online (Plan 1), licensed by Sekalis from authorised Microsoft wholesaler and made available to the user as an add-on to their Sekalis subscription. Mailboxes are hosted in the Microsoft EU North (Amsterdam) datacenter and covered by the Microsoft DPA under the EU-US Data Privacy Framework (Decision 2023/1795). Sekalis acts as reseller and technical provider, without access to the content of the user's emails.
7.2 Pricing
Prices excl. VAT per mailbox: €4.90 per month on monthly billing, or €49.90 per year on annual billing (equivalent to about €4.16 per month, ~15% savings). The applicable rate is the one in effect on the date the mailbox is subscribed. Belgian VAT 21% added for individuals; B2B intra-EU reverse charge for professionals with a valid VAT number.
7.3 Independence from the main plan
Each mailbox is billed on its own cycle (monthly or annual), independent of the main Sekalis plan cycle (website, payments, security). As a result: (a) if the user cancels their Sekalis plan, their mailboxes remain active until the end of their own already-paid cycle; (b) if the user cancels only a mailbox, their Sekalis plan continues normally.
This independence allows a user leaving Sekalis to keep their email address while migrating to another provider, within the already-paid cycle. No automatic extension beyond is granted.
7.4 Automatic renewal
All mailboxes renew automatically at the end of each cycle (monthly or annual) as long as payment terms are met. For annual mailboxes, a reminder email is sent to the user at least 30 days before the tacit renewal date, in accordance with Article VI.91 of the Belgian Economic Law Code. The user can disable renewal at any time from their dashboard; the mailbox then remains active until the end of the current cycle.
7.5 Payment failure policy
If a Stripe charge fails on renewal, the mailbox remains active until the end of the already-paid cycle. No new cycle is ordered from Microsoft until payment is resolved. If payment is recovered within the expected window (Stripe Smart Retries, approximately 7 days), the mailbox is automatically reactivated for a new cycle. Otherwise, access to the mailbox is suspended at midnight on the last day of the paid cycle. The user receives alert emails before and after the failure to update their payment method.
7.6 No refund
In accordance with Article VI.83 of the Economic Law Code, no started billing cycle is refundable, whether cancellation is user-initiated or service-related. The service is fully delivered until the end of the paid cycle. For annual subscriptions, the withdrawal right under Directive 2011/83/EU applies for 7 days following the initial subscription, provided the user has not begun actively using the mailbox (first email sent/received).
7.7 Data residency
Mailboxes are provisioned in "EU North" data residency (Amsterdam, Netherlands) to ensure compliance with European GDPR. Data transfers to the United States (for Microsoft technical operations) are governed by the EU-US Data Privacy Framework. The user acknowledges that use of the Pro Email service involves the transmission of certain metadata (email addresses, timestamps, technical logs) to Microsoft Corporation acting as a sub-processor.
7.8 Termination and migration
The user may terminate their Pro Email service at any time from their dashboard. Termination takes effect at the end of the current cycle. On that date, Sekalis stops renewing the Microsoft licence and access to the mailbox is permanently closed. The user is responsible for exporting their emails and contacts beforehand (PST, IMAP formats or native Microsoft tools) before the closing date. No backup is retained by Sekalis beyond effective termination.
8. User obligations
The user agrees to:
- Use the Platform in accordance with its intended purpose and applicable laws
- Not publish any unlawful, defamatory, discriminatory, pornographic content or content that infringes the rights of third parties
- Not attempt to circumvent the Platform's security measures
- Not use the Platform for spam, phishing or any fraudulent activity
- Not reproduce, copy or resell all or part of the Platform
- Not intentionally overload the Platform's infrastructure
- Respect the intellectual property rights of Sekalis and third parties
The user is solely responsible for the content they publish through websites generated by the Platform. Sekalis reserves the right to remove any content that violates these Terms or applicable law, without prior notice or compensation.
9. Intellectual property
6.1 Sekalis property
The Platform, its architecture, source code, interfaces, brand, logo and all its constituent elements are the exclusive property of Sekalis and are protected by intellectual property law.
6.2 User content
Content created by the user through the Platform (website text, uploaded images, configurations) remains the property of the user. Sekalis does not claim any ownership rights over such content.
The user grants Sekalis a non-exclusive, limited licence to host and display their content, as necessary for the provision of the service.
6.3 AI-generated content
Text and visuals generated by artificial intelligence as part of website creation are made available to the user for use within the scope of the service. The user is responsible for verifying the accuracy and compliance of such content before publication.
10. Liability
7.1 Sekalis liability
Sekalis undertakes to provide its services with due diligence and in accordance with professional standards. This constitutes an obligation of means, not of result.
Sekalis shall not be held liable for:
- Temporary service interruptions for maintenance or updates
- Malfunctions related to the network infrastructure or the user's internet service provider
- Content published by users through generated websites
- Inaccuracies in content generated by artificial intelligence
- Indirect damages (loss of revenue, data loss, etc.)
- The availability or quality of third-party services (Stripe, OVH, Pexels, Anthropic)
7.2 User liability
The user is solely responsible for their use of the Platform and the content they publish on it. The user indemnifies Sekalis against any third-party claims resulting from their use of the Platform.
9.2 Liability cap
To the maximum extent permitted by Belgian law, Sekalis' total cumulative liability to a user, for any direct damage arising from or related to the service, is limited to the total amount actually paid by the user to Sekalis during the 12 months preceding the damaging event. This limitation does not apply in case of willful misconduct, gross negligence, or infringement of non-waivable consumer rights (art. VI.83 CDE).
11. Termination
8.1 Termination by the user
The user may cancel their subscription at any time through their Stripe management portal. Cancellation takes effect at the end of the current subscription period. No pro-rata refund will be provided for the remaining period.
8.2 Termination by Sekalis
Sekalis reserves the right to suspend or terminate a user's account in the event of:
- Violation of these Terms
- Fraudulent or abusive use of the Platform
- Publication of unlawful content
- Non-payment of the subscription after a reminder
8.3 Consequences of termination
Upon termination, the services associated with the account (website, email) will be deactivated. User data will be retained for 30 days and then permanently deleted, unless a legal obligation requires retention.
8.4 Data export and portability
In accordance with Article 20 of the GDPR (right to data portability), the user may at any time, before or after termination, request a full export of their data in a structured, commonly used and machine-readable format (JSON). The export includes: user profile, website content, form submissions, orders, statistics, campaign subscribers. The request can be made from the user dashboard ("My data" section) or by email to privacy@sekalis.be. The export is made available within a maximum of 30 days and remains downloadable for 7 days after notification.
12. Personal data
The processing of personal data is described in our Privacy Policy, which forms an integral part of these Terms.
13. Applicable law and jurisdiction
These Terms are governed by Belgian law.
In the event of a dispute relating to the interpretation or performance of these Terms, the parties shall endeavour to reach an amicable solution. Failing this, the dispute shall be submitted to the competent courts of the judicial district of Brussels, Belgium.
In accordance with European Regulation No 524/2013, the user may also use the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
14. Changes to the Terms
Sekalis reserves the right to modify these Terms at any time. Changes shall take effect upon publication on the Platform.
In the event of a substantial change, users will be notified by email at least 15 days before the new conditions take effect. Users who do not accept the changes may cancel their subscription before they take effect.
Continued use of the Platform after the changes take effect constitutes acceptance of the new Terms.
